Terms of Service

1. Agreement to terms

By creating an account or using Nookclub (the “App”), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the App.

2. Eligibility

You must be at least 13 years old, or the minimum age required to consent to online services in your country (for example, 16 in some parts of the European Union), to use Nookclub. If you are under the age of majority in your jurisdiction, you confirm that a parent or legal guardian has reviewed and agreed to these terms on your behalf.

3. Your account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when creating your account and to keep it up to date. We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscriptions and payments

Nookclub offers a free tier with limited features and optional paid subscription plans that unlock additional functionality. Subscriptions are available on weekly, monthly, and yearly billing cycles and may include a free trial period.

  • All payments are processed through the app store you installed from: Apple's App Store (In-App Purchase) on iOS or Google Play (Google Play Billing) on Android. By subscribing, you also agree to that store's terms of service.
  • Payment is charged to your Apple ID or Google account at confirmation of purchase. Subscription prices are displayed in the store and may vary by region.
  • Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the same rate.
  • Free trials convert to a paid subscription automatically unless cancelled before the trial ends. Any unused portion of a free trial is forfeited when you purchase a subscription.
  • We may offer referral rewards, such as an extended free trial, when you invite others or join through another member's invite. Referral rewards have no cash value, are not transferable, and may be changed, limited, or withdrawn at any time. We may withhold rewards we believe were obtained through fake accounts, spam, or other abuse.
  • You can manage or cancel your subscription at any time through your Apple ID account settings on iOS or your Google Play subscriptions on Android.
  • Refunds are handled by Apple or Google, according to the refund policy of the store where you purchased. We do not process refunds directly.

These terms are between you and us, not the app store you installed from. If you obtained Nookclub from the Apple App Store, Apple is not responsible for the App or its content, has no obligation to provide support or maintenance, and is not responsible for handling any claims relating to the App; Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you, and your use of the App must also comply with the Apple Media Services Terms and Conditions (including the standard End User License Agreement) in effect at the time.

If you obtained Nookclub from Google Play, your use of the App is also subject to the Google Play Terms of Service. Google is not a party to these terms and is not responsible for the App, its content, or any claims relating to it.

5. Your content

You retain ownership of all content you create in Nookclub, including highlights, reflections, notes, and profile information. By using the App, you grant us a limited license to store, process, and display your content solely to provide the service to you and, where applicable, to generate AI-based discussion questions for your book clubs as described in Section 6 (AI-generated content).

Your highlights and notes may include excerpts of text from third-party copyrighted works. You are responsible for this content and represent that you have the right to store such excerpts for your personal use, as described in our copyright and takedown section below.

Your reflections and highlights are not shown directly to other club members; they are used only to generate AI discussion questions for the club, as described in Section 6. Other content you choose to share in a club, such as your club profile, the books you're reading, and meeting details, is visible to that club's members. You are responsible for the content you share and agree not to post anything that is illegal, harmful, abusive, or violates the rights of others.

6. AI-generated content

Nookclub uses artificial intelligence to generate personalized reflection questions based on your reading activity, highlights, and notes. These questions are generated by a third-party AI service (Anthropic) and are intended to enhance your reading experience.

When a book club host generates discussion questions, the highlights and reflections that members have shared with that club are combined and sent to the AI provider to produce group questions. Only content you have already shared within a club is used in this way.

AI-generated content is provided “as is” and may not always be accurate, relevant, or appropriate. We do not guarantee the quality or suitability of AI-generated content. Your highlights and reading data are sent to the AI provider solely to generate these questions and are not used to train AI models.

Members do not see each other's raw highlights or reflections; only the resulting AI-generated questions are shown to the club.

7. Book clubs

You may create and join book clubs within the App. As a club creator, you are responsible for the club's activity. We reserve the right to remove clubs or content that violate these terms. Club members can see meeting details, the AI-generated discussion questions produced from members' shared reflections and highlights (see Section 6), and other content you choose to share within the club. Members' original reflections and highlights are not shown directly to other members.

Invitations use usernames as invite codes and are entered manually. When you share your invite code or link, anyone who has it can send you a connection request or join a club you have opened to invites. Do not share invite links more widely than you intend, and do not use them to send unsolicited or bulk messages.

8. Acceptable use

You agree not to:

  • Use the App for any unlawful purpose
  • Harass, abuse, or harm other users through book clubs or shared content
  • Attempt to gain unauthorized access to the App or its systems
  • Interfere with or disrupt the App's functionality
  • Use automated means to access the App (bots, scrapers, etc.)
  • Impersonate another person or misrepresent your identity
  • Upload content that infringes on the intellectual property rights of others

9. User content and third-party liability

Nookclub hosts content that members choose to share with each other, such as highlights, reflections, and club discussions. We do not review, endorse, or verify this content before it is shared, and we are not the publisher or speaker of content posted by other members.

Where you are located in the United States, we intend to be treated as a provider of an interactive computer service under Section 230 of the Communications Decency Act, and not as the publisher or speaker of information provided by another user.

Where you are located in the United Kingdom, we intend to be treated as a website operator for the purposes of section 5 of the Defamation Act 2013, and to have the benefit of any equivalent hosting or intermediary defenses available under UK law.

If you are located elsewhere, we intend to rely on any equivalent hosting, intermediary, or safe harbor protections available under the law of your country of residence.

None of the above limits your own rights against the member who posted the content, or our ability to remove content or restrict access to the App as described in Section 8 (Acceptable use).

10. Intellectual property

The Nookclub name, logo, design, and all original content and features of the App are owned by Nookclub and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the App without our written permission.

11. Account deletion

You can delete your account at any time from within the App. When you delete your account, we permanently remove your profile, reading data, highlights, reflections, and all other personal data. Content you shared in book clubs may remain visible to other members in anonymized form. Account deletion is irreversible.

12. Termination

We may suspend or terminate your access to Nookclub at any time if you violate these terms or if we discontinue the service. Upon termination, your right to use the App ceases immediately. Sections that by their nature should survive termination (such as content ownership, disclaimers, and limitation of liability) will continue to apply.

13. Disclaimers

Nookclub is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. We are not responsible for the accuracy or reliability of any AI-generated content or user-submitted content.

14. Limitation of liability

To the maximum extent permitted by law, Nookclub and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill arising from your use of the App. Our total liability for any claim related to the service is limited to the amount you paid us in the 12 months preceding the claim, or $50 CAD, whichever is greater.

15. Indemnification

You agree to indemnify and hold harmless Nookclub and its operator from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the App, your content, your violation of these terms, or your infringement of any third-party rights. This includes, but is not limited to, content you share in book clubs and any misuse of the service.

16. International use and compliance with local law

Nookclub is operated from Canada and can be accessed from other countries. We make no representation that the App, or any of its features (including AI-generated content, subscriptions, or book club functionality), is appropriate, legal, or available in every country. If you access the App from outside Canada, you are responsible for complying with the laws that apply to you in your own location. Nothing in this section limits any mandatory consumer protection rights described in Section 18 (Governing law).

17. Export control and sanctions

You represent that you are not located in, and are not a national or resident of, any country subject to a comprehensive trade embargo or sanctions program administered by Canada, the United States, the European Union, or the United Nations, and that you are not listed on any government list of prohibited or restricted parties (such as Canada's Consolidated List or the U.S. Treasury's Specially Designated Nationals list). You agree not to use the App in violation of any export control or economic sanctions laws that apply to you.

18. Governing law

These terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from these terms or your use of the App shall be resolved in the courts of Montreal, Quebec.

Nothing in this section removes any mandatory consumer protection rights you have under the laws of your country of residence. If you are a consumer, you may also be entitled to bring proceedings in your local courts and to rely on the mandatory provisions of your local law, and this agreement does not limit those rights.

19. Changes to these terms

We may update these terms from time to time. When we make material changes, we will notify you through the App or by email. Your continued use of Nookclub after changes take effect constitutes acceptance of the updated terms.

20. Severability

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

21. Copyright, illegal content, and takedown requests

You are responsible for the content you capture in Nookclub, including highlights and notes, which may contain text from copyrighted works. You represent that you have the right to store such content for your personal use. If you believe content in Nookclub infringes your copyright, contact us at nookclub@outlook.com with the work, the location, and your contact details, and we will review and remove infringing content. We may suspend or terminate the accounts of repeat infringers.

If you believe content in Nookclub is illegal under the law of your country (for example, content that is defamatory, harassing, or that promotes violence), you can report it to us at nookclub@outlook.com with a description of the content, its location in the App, and why you believe it is unlawful. We will review reports and remove content we determine violates these Terms or applicable law, consistent with Section 9 (User content and third-party liability) and Section 8 (Acceptable use).
